1. Parties and acceptance
These terms form a contract between Keebai SpA, Chilean tax ID 78310041-K, domiciled at Av. La Dehesa 1822, Of. 705 (Floor 7), Lo Barnechea, Santiago, Chile ('Keebai'), and the individual or entity contracting the service ('the Customer'). By creating an account or using the service you accept these terms and our privacy policy. If you accept on behalf of a company you represent that you have authority to bind it.
2. Account
You are responsible for keeping your credentials confidential and for activity under your account. Notify us immediately if you detect unauthorized access.
3. Acceptable use
No spam, fraud, illegal content, harassment, reverse-engineering or evasion of usage limits. We may suspend accounts in violation with no refund.
4. Subscription and billing
We bill in advance based on the plan you select. Cancellations take effect at the end of the paid period. No refunds for partial periods except where law requires.
5. Intellectual property
The Keebai platform and its underlying technology are owned by Keebai Inc., which licenses them to Keebai SpA for the provision of the service. You retain all rights to your data and content. You grant us a limited, non-exclusive and revocable license to process it for the sole purpose of operating the service on your behalf.
6. Personal data protection
With respect to the personal data of your own customers and contacts processed through the platform, the Customer acts as data controller and Keebai acts as processor under article 15 bis of Chilean Law No. 21.719. In that capacity, Keebai processes such data only under the Customer's documented instructions and for the purposes of the contracted service; observes the duty of secrecy of article 14 bis, which survives termination; does not sub-delegate to third parties without the Customer's written authorization; notifies the Customer without undue delay of any security breach affecting such data; assists the Customer in handling data subject requests; and deletes or returns the data upon termination of the service. At the Customer's request, Keebai enters into a Data Processing Agreement setting out the subject matter, duration, purpose, types of data, categories of data subjects, the list of authorized sub-processors and the international transfer regime. With respect to account, billing and service usage data, Keebai acts as data controller under the privacy policy.
7. Liability limitation
The service is provided 'as is'. Our aggregate liability is limited to fees paid in the 12 months preceding the incident.
8. Termination
You may cancel at any time from the admin panel. We may terminate accounts with 30 days notice or immediately for material breach.
9. Governing law and jurisdiction
These terms are governed by the laws of the Republic of Chile. Any dispute between the parties shall be submitted to the ordinary courts of justice seated in the city of Santiago, the parties waiving any other jurisdiction.
